1. Acceptance of Terms
Welcome to Outly. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Outly ("we," "us," or "our"). By accessing or using the Outly mobile application, you agree to be bound by these Terms and our Privacy Policy.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.
2. Eligibility
2.1 Age Requirement
You must be at least 18 years old to use Outly. By creating an account, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You will provide accurate age information (date of birth)
2.2 Account Accuracy
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Not impersonate any person or entity
- Not create multiple accounts or use fake accounts
2.3 Geographic Restrictions
Outly is available in multiple countries with localized pricing and currency support. Some features may vary by region. Certain venue-specific features are only available in areas where partner venues operate.
3. User Accounts
3.1 Account Creation
You can create an account using:
- Email and password
- Google Sign-In
- Apple Sign-In
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access or security breach
We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Types and Roles
Outly supports different user roles:
- Regular Users: General app access, social features, venue bookings
- Pro Users: Premium subscription with unlimited messaging, group creation, and enhanced features
- Club Admins: Venue management, event creation, booking management, marketing notifications
- Security Staff: QR code scanning, guest entry verification, blacklist management
- Super Admins: Platform administration, user management, analytics
4. Subscriptions and Payments
4.1 Pro Subscription
Pro subscription benefits include:
- Unlimited direct messaging (free users limited to 7 messages)
- Group chat creation
- Priority customer support
- Enhanced profile features
- Ad-free experience (if applicable)
4.2 Pricing and Billing
- Subscription pricing varies by country and currency
- Pricing is displayed in your local currency during purchase
- Subscriptions are billed through Apple App Store or Google Play Store
- Payments are processed by RevenueCat on behalf of Apple/Google
- Prices are subject to change with 30 days' notice
4.3 Subscription Management
- Subscriptions auto-renew unless cancelled before the renewal date
- Cancel anytime through your Apple App Store or Google Play Store account settings
- Cancellation takes effect at the end of the current billing period
- No refunds for partial subscription periods
4.4 Venue Bookings and Event Tickets
- Table reservations and event tickets may require payment
- Prices are set by individual venues and displayed before purchase
- Booking fees and taxes may apply
- Refund policies vary by venue and are displayed during booking
- QR codes are generated for confirmed bookings for venue entry
4.5 Notification Packs (Club Admins)
- Club administrators can purchase notification packs to send promotional messages to users
- Pricing is set per notification pack
- Notification usage is tracked and displayed in the admin dashboard
- No refunds for unused notifications
4.6 Restore Purchases
You can restore previous purchases on new devices by using the "Restore Purchases" option in the app.
4.7 Payment Processor
All payments are processed by:
- Apple App Store (iOS)
- Google Play Store (Android)
- RevenueCat (subscription management)
We do not store your credit card information.
5. User Content and Conduct
5.1 Content You Create
You may create and share:
- Profile information (bio, photos, social media links)
- Posts and "vibes" about your nightlife experiences
- Comments on club posts and events
- Direct messages, group chats, and Together Party messages
- Reviews and ratings of venues
- Booking requests and preferences
5.2 Content Ownership
- You retain ownership of content you create
- By posting content, you grant Outly a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content for the purpose of operating and promoting the service
- This license continues even if you delete your content (for cached or backup copies)
- You can delete your content at any time through the app
5.3 Prohibited Content
You agree NOT to post content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Infringes on intellectual property rights or privacy rights of others
- Contains malware, viruses, or harmful code
- Promotes violence, discrimination, or hate speech
- Contains false or misleading information
- Violates any applicable laws or regulations
- Solicits passwords or personal information from other users
- Promotes illegal drugs, weapons, or other contraband
- Contains sexually explicit material (nudity, pornography)
- Involves commercial solicitation or spam
5.4 Content Moderation
We reserve the right to:
- Review and moderate user-generated content
- Remove content that violates these Terms
- Suspend or terminate accounts for violations
- Report illegal content to law enforcement
We are not obligated to monitor all content but may do so at our discretion.
5.5 User Conduct
You agree NOT to:
- Harass, bully, stalk, or intimidate other users
- Impersonate others or misrepresent your identity
- Use the app for commercial purposes without authorization
- Create fake accounts or bot accounts
- Scrape, crawl, or collect user data without permission
- Reverse engineer or decompile the app
- Interfere with the app's functionality or security
- Bypass any access restrictions or security measures
- Use the app to commit fraud or illegal activities
- Share or sell your account credentials
6. Venue Bookings and Check-ins
6.1 Booking Process
- Browse venues and events in the app
- Select a date, time, party size, and table tier
- Submit a booking request
- Receive confirmation or rejection from the venue (bookings may be subject to approval)
- A QR code is generated for confirmed bookings
6.2 QR Code Usage
- QR codes are valid for the specific booking date and time
- Present your QR code at the venue entrance for security verification
- QR codes cannot be transferred or shared with others
- Lost or stolen QR codes should be reported immediately
6.3 Check-in and Entry
- Venue security staff will scan your QR code using the app
- Entry may be refused if your booking is not confirmed, expired, or fraudulent
- Venue security has final discretion on entry
- Age verification (ID check) may be required at the venue
- Dress codes and venue-specific rules apply
6.4 Booking Modifications and Cancellations
- You can modify or cancel bookings through the app (subject to venue policy)
- Some bookings may be non-refundable
- Last-minute cancellations may incur fees
- No-shows may result in booking restrictions
6.5 Venue Responsibilities
- Venues are responsible for their own operations, safety, and compliance with local laws
- Outly is not responsible for venue conduct, accidents, or incidents
- Disputes with venues should be resolved directly with the venue
7. Social Features
7.1 Messaging
- Free Users: Limited to 7 direct messages
- Pro Users: Unlimited messaging
- Club Admins and Security: Unlimited messaging
- Messages are stored in Firebase Firestore
- Do not share sensitive information (passwords, financial data) via messages
7.2 Groups and Together Parties
- Pro users can create group chats
- Together Party feature allows venue-specific group conversations
- Group admins can remove participants
- All group content is subject to these Terms
7.3 Posts and Vibes
- Share your experiences at venues with posts and "vibes"
- Tag venues and events to increase visibility
- Interact with other users' posts through likes and comments
- Posts can be reported for violations
7.4 Blocking and Reporting
- You can block users to prevent them from contacting you
- Blocked users cannot see your profile or send you messages
- Report users or content that violates these Terms
- False reports may result in account suspension
7.5 Public Profiles
Your profile is visible to other users, including:
- Name, profile picture, gallery images
- Bio, occupation, relationship status, age
- Social media links (if provided)
- Location (city/country, not exact coordinates)
- Posts, vibes, and reviews
8. Location Services
8.1 Location Permissions
The app requires location access to:
- Show you nearby venues, events, and users
- Provide distance-based filtering and sorting
- Enable check-ins and location-based recommendations
- Verify your location during bookings and QR code generation
8.2 Background Location Tracking
- We track your location in the background (if permitted)
- This improves accuracy and enables location-based notifications
- You can disable background location in device settings (may limit features)
8.3 Location Privacy
- Precise GPS coordinates are not shared publicly
- Only city/country-level location is visible to other users
- Venues can see your approximate location during check-ins
9. Club Admin and Venue Features
9.1 Venue Management
Club admins can:
- Create and manage events
- Accept or reject booking requests
- Send promotional notifications (with purchased notification packs)
- View booking analytics and statistics
- Manage staff (security, employees)
- Create and update venue information
9.2 Notification Packs
- Purchase notification packs to send marketing messages to users
- Notifications must comply with these Terms (no spam or misleading content)
- Users can opt out of promotional notifications
- Abuse of notification system may result in account suspension
9.3 Security Staff
Security staff can:
- Scan QR codes to verify bookings
- Accept or refuse entry
- Manage guest entries and blacklists
- View booking details for their assigned venue only
9.4 Venue Liability
- Venues are responsible for their own operations and compliance with local laws
- Venues must ensure age verification and safety regulations
- Outly is a platform provider and not responsible for venue conduct
10. Intellectual Property
10.1 Outly's Intellectual Property
All content, trademarks, logos, and intellectual property in the app are owned by Outly or licensed to us. You may not:
- Copy, reproduce, or distribute app content without permission
- Use our trademarks or branding without authorization
- Modify or create derivative works of the app
- Remove copyright or proprietary notices
10.2 User-Generated Content License
By posting content, you grant Outly:
- A worldwide, non-exclusive, royalty-free license
- To use, display, reproduce, modify, and distribute your content
- For the purpose of operating, promoting, and improving the service
- This license survives account deletion for archived content
10.3 Copyright Infringement
We respect intellectual property rights. If you believe your copyright has been infringed, contact us at:

- RevenueCat: Subscription and payment management
- Google Sign-In: OAuth authentication
- Apple Sign-In: OAuth authentication
- Geolocator: Location services
- Apple App Store / Google Play Store: Payment processing
These services have their own terms and privacy policies. We are not responsible for third-party services.

Your use of Outly is also governed by our Privacy Policy, which explains:

13. Disclaimers and Limitation of Liability
13.1 No Warranties

- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the app will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or reliability of content
13.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTLY SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Personal injury or property damage
- Damages arising from your use or inability to use the app
- Damages arising from third-party content or conduct
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.
13.3 Venue and Event Liability
- We are not responsible for venue operations, safety, or incidents
- We do not guarantee availability of venues or events
- Booking confirmations are subject to venue approval
- We are not liable for venue cancellations, overbooking, or service issues
13.4 User Interactions
- We are not responsible for interactions between users
- You assume all risks of meeting or communicating with other users
- Exercise caution when meeting users in person
- Report suspicious or dangerous behavior immediately
14. Indemnification
You agree to indemnify, defend, and hold harmless Outly, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the app
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or conduct
- Your bookings or interactions at venues
15. Termination
15.1 Termination by You
You may terminate your account at any time by:
- Using the "Delete Account" option in app settings
- Contacting us at support@outly.app
Upon termination:
- Your profile and personal data will be deleted
- Your subscriptions will be cancelled (refunds subject to App Store/Play Store policies)
- Some data may be retained for legal compliance
15.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- You abuse or harass other users
- You create fake accounts or spam
- We are required to do so by law
- We discontinue the service
We will provide notice of termination unless immediate action is required for safety or legal reasons.
15.3 Effect of Termination
Upon termination:
- Your access to the app will be revoked
- Your content may be deleted or anonymized
- Subscription fees are non-refundable
- Sections of these Terms that should survive (liability, indemnification) will remain in effect
16. Dispute Resolution

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
18.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
18.4 Assignment
You may not assign or transfer these Terms without our consent. We may assign these Terms to any successor or affiliate.
18.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, pandemics, government actions).
18.6 No Agency
These Terms do not create a partnership, agency, or employment relationship between you and Outly.
18.7 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights.
